Terms
These terms govern the use of the GMS Platform.
1. Scope
These terms apply to the GMS Platform provided by GMS CO., LTD., including the related websites, console, RFQ, quotation, order, payment, document, and messaging features.
If a separate agreement, quote, purchase order, invoice, or written condition provided by GMS conflicts with these terms, the separate condition controls for that transaction.
2. Accounts and Organizations
Users must keep registration details, company information, contact details, shipping addresses, and billing information accurate and up to date.
Actions taken inside an organization workspace are treated as actions of that organization. Users are responsible for credential security and permission management.
3. RFQs, Product Information, Quotes, and Orders
Published products, supplier information, prices, stock, lead times, and specifications are not binding offers and may change.
Quotes are subject to their stated validity period, conditions, currency, Incoterms, payment terms, and assumptions. A transaction is formed when the user accepts a quote and GMS confirms the order.
Requests or transactions that may violate export/import controls, sanctions, intellectual property rights, product safety rules, or applicable laws may be refused.
4. Payments, Refunds, and Documents
Payment methods, currency, fees, and refund availability follow the conditions shown for each quote or order. Offline payments such as bank transfers are reflected after GMS verifies receipt.
Pro forma invoices, commercial invoices, packing lists, and similar documents are generated from information provided by users. Users are responsible for confirming company, shipping, item, tax, and customs information.
5. Prohibited Conduct
Users must not submit false information, infringe third-party rights, attempt unauthorized access, disrupt systems, send spam or malware, transact with sanctioned parties, violate law, or harm GMS, other users, or suppliers.
If GMS identifies a violation or material risk, GMS may restrict use, pause orders, hide content, investigate, or terminate access.
6. Content and Intellectual Property
Users represent that they have the rights and permissions needed for specifications, drawings, images, certificates, messages, and other materials they upload.
Software, screens, logos, designs, documentation, and other materials owned by GMS or its licensors remain the property of GMS or the relevant right holder.
7. Disclaimers and Liability Limits
GMS works to provide a stable platform, but interruptions, delays, data loss, third-party service failures, network issues, and force majeure events may occur.
To the extent permitted by law, GMS liability is limited to the amount paid by the user to GMS that directly relates to the claim.
8. Governing Law, Venue, and Contact
These terms are governed by Japanese law. Unless mandatory law requires otherwise, the Tokyo District Court has exclusive jurisdiction as the court of first instance for disputes related to these terms or the service.
